TERMS OF SERVICE — PALMYRION

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and [Legal Entity/Proprietorship Name], operating under the brand name Palmyrion ("Palmyrion," "we," "us," or "our"), a business registered/operating from [Registered Business Address, Mumbai, Maharashtra, India] governing your access to and use of the website [palmyrion.com] (the "Site").
By accessing, browsing, registering on, or placing an order through the Site, you agree to be bound by these Terms, along with our Privacy Policy, Shipping Policy, and Returns & Refunds Policy, each incorporated herein by reference. If you do not agree, please discontinue use of the Site.
1. Definitions
- "Products" means the wearable garments, artifacts, and other goods listed for sale on the Site under the Palmyrion brand, including items from the "Tides of Avernus" collection.
- "Chronicles of Avernus" refers to the original fictional world, narrative universe, symbols, lore, and mythology created by Palmyrion, within which all Products and brand communications are contextually framed.
- "Order" means a request placed by a User to purchase Products through the Site.
- "Content" means all text, graphics, images, logos, designs, and other material appearing on the Site.
2. Eligibility
2.1 You must be at least 18 years of age to create an account, place an Order, or enter into a binding contract on the Site. Users between 13–18 may use the Site only under the supervision and consent of a parent or legal guardian.
2.2 By placing an Order, you represent that you have the legal capacity to enter into a valid contract under the Indian Contract Act, 1872, and that all information you provide is accurate and complete.

Palmyrion operates on an inventory-based model — we design, manufacture, and sell Products directly. We are not a marketplace hosting third-party sellers.
4. Account Registration & Security
4.1 You agree to provide accurate information when creating an account and to keep your credentials confidential. You are responsible for all activity under your account.
4.2 During pre-launch or limited-access phases, parts of the Site may be password-protected. Access credentials are for personal use only and may not be redistributed publicly.
4.3 We may suspend or terminate accounts that provide false information or violate these Terms.
5. Products, Descriptions & Availability
5.1 We make reasonable efforts to display Product colors, textures, and details accurately. However, as Product imagery may include digitally rendered or stylised visual content created for campaign purposes, actual Products may vary slightly due to screen calibration, lighting, and the small-batch nature of production. This does not constitute a defect.
5.2 As Palmyrion garments are produced in limited runs, minor variations in stitching, dye lots, or finishing between individual pieces of the same design are characteristic of small-batch manufacturing rather than a fault.
5.3 Products are subject to availability. We reserve the right to discontinue, modify, or correct pricing/descriptive errors, even after an Order is placed, subject to Section 7.
6. Pricing & Payment
6.1 Prices are listed in INR, inclusive of applicable GST unless stated otherwise. A GST-compliant invoice is issued for every Order.
6.2 Payments are processed via secure third-party gateways (e.g., Shopify Payments, Razorpay). Palmyrion does not store your full card, UPI, or net-banking credentials.
6.3 We reserve the right to refuse or cancel an Order in the event of a pricing error, suspected fraud, or stock unavailability; any amount charged will be refunded in full.
6.4 In line with the CCPA's Guidelines for Prevention of Dark Patterns, 2023, Palmyrion does not use drip pricing, basket sneaking, or pre-selected paid add-ons without your explicit consent.
7. Order Placement & Cancellation
7.1 An Order is placed once checkout and payment are complete. Order confirmation is an acknowledgment of receipt, not acceptance — a binding sale is formed only upon dispatch.
7.2 You may cancel an Order free of charge any time before dispatch by writing to us with your Order number. Once dispatched, cancellation is no longer possible; our Returns & Refunds Policy applies instead.
7.3 We reserve the right to cancel any Order at our discretion (stock unavailability, listing errors, suspected fraud, payment issues), with a full refund issued.
8. Intellectual Property Rights
8.1 All Content — including the Palmyrion name, logo, eight-pointed star motif, garment designs, packaging, photography, and the Chronicles of Avernus narrative universe in its entirety — is the exclusive property of Palmyrion, protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and applicable IP law.
8.2 You are granted a limited, non-exclusive, revocable license to use the Site for personal, non-commercial purposes only. Reproduction, distribution, or commercial exploitation of any Content without our written consent is prohibited.
8.3 The Chronicles of Avernus lore, characters, symbols, and terminology are original fictional creations of Palmyrion. Unauthorized commercial use or adaptation is strictly prohibited and may attract civil and/or criminal liability.
9. User Conduct
You agree not to:
- Use the Site for any unlawful purpose or in breach of these Terms;
- Attempt unauthorized access to password-protected areas, other accounts, or Palmyrion's systems;
- Post content that is defamatory, obscene, or infringing;
- Use bots or scrapers without written permission;
- Misuse promotional codes or engage in fraudulent transactions/chargebacks.
10. Promotions & Community Engagement
Palmyrion may run promotional mechanics, discount codes, or narrative/puzzle-based activities across the Site, Instagram, or WhatsApp. Participation is voluntary and governed by any specific terms published at the time; Palmyrion may modify or discontinue such activities at its discretion.
11. Third-Party Links
The Site may link to third-party websites, payment processors, or social platforms not controlled by Palmyrion. We are not responsible for their content, privacy practices, or terms.
12. Privacy
Your personal data is handled in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023. By using the Site, you consent to data collection and processing as described there, including data shared with payment processors, logistics partners, and marketing/analytics tools for order fulfilment and permitted marketing.
13. Disclaimers & Limitation of Liability
13.1 The Site is provided "as is" and "as available." Palmyrion does not warrant uninterrupted or error-free access.
13.2 To the extent permitted by law, Palmyrion's aggregate liability for any Order shall not exceed the amount paid for that Order. We are not liable for indirect, incidental, or consequential damages.
13.3 Nothing here limits rights that cannot be excluded under the Consumer Protection Act, 2019.
14. Indemnification
You agree to indemnify Palmyrion, its founder, and affiliates against claims, damages, or expenses arising from your breach of these Terms or misuse of the Site.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Subject to your rights under the Consumer Protection Act, 2019, disputes are subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
16. Force Majeure
Palmyrion is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, strikes, government restrictions, or technical outages.
17. Modification of Terms
We may amend these Terms at any time. Material changes will be notified on the Site. Continued use after an update constitutes acceptance.
18. Severability & Entire Agreement
If any provision is held invalid, the rest remains in effect. These Terms, together with our Privacy Policy, Shipping Policy, and Returns & Refunds Policy, form the entire agreement between you and Palmyrion.
Disclaimer
Palmyrion does not guarantee that all items included on the website are in stock at the time of your purchase. In the case where the item is unavailable, we will contact you shortly after receiving your order by phone or email. Palmyrion does not guarantee that the content of the website is free of inaccuracies or typographical errors. The content of the site can be amended at any time.
In the event that you were charged a wrong amount on the webshop, we will give you the option of placing a new order with the correct price, receiving a refund for the adjusted amount or cancelling your order.
